Our client, a prestigious AmLaw 100 firm with a nationally recognized Capital Markets practice , is seeking a motivated and detail-oriented Associate Attorney to join its New York office. This is an excellent opportunity for a junior corporate attorney to gain exposure to sophisticated transactions within the energy and utilities sector, while working alongside a collaborative team of industry-leading practitioners.
Candidate Profile:
JD from a top-tier law school with a strong academic record .
Active Bar Admission in New York , in good standing.
1–2 years of substantive experience in corporate transactions , preferably in capital markets or related practice areas.
Transactional Experience : Prior exposure to complex capital markets transactions, securities offerings, or corporate governance is preferred.
Sector Interest: Interest or experience in the power and utilities industry is a plus , though not required.
Skill Set: Strong analytical, drafting, and communication skills; detail-oriented with the ability to manage multiple workstreams under partner supervision.
Professionalism: Demonstrated initiative, sound judgment, and a client-focused mindset; ability to work well within a team-oriented, fast-paced environment.
Key Responsibilities:
Assist in advising public and private companies on capital markets transactions , including equity and debt offerings .
Draft, review, and negotiate disclosure documents , transaction agreements , and SEC filings .
Conduct legal research and provide regulatory analysis related to securities law compliance and corporate governance .
Support the execution of high-value deals through all phases of the transaction lifecycle .
Collaborate with colleagues across practice groups, including energy, M&A, and finance, to deliver coordinated client service.
Engage directly with clients, with increasing responsibility as experience and skill develop.
